I bought a not too insignificant number of shares in last year's offering. Since which I wrote to the club requesting a copy of the financial statements. I received a copy of the 2007 numbers with some back pages of notes to the accounts missing. I wrote back to the club pointing this out and requested the missing pages. I received no response.

It is nearly a year since I bought the shares and as of yet have not received any notification of financial results, AGM's or shareholder meetings.

Can any other shareholders please advise as to the likely timetable of when accounts are sent out, notice for AGM etc?

I am also a shareholder so I will find out for you. However I do know that there is soo much going on behind the scenes that things are very positive. The club has also been restructured this week with the arrival of Jim Elston.

For what its worth I think the next shareholders meeting will be after we have heard more about our planning application around June/July. The outcome on that will be of such significance that I can't see the point of having a meeting before we know the outcome.

Either way, the shareholders should be told what is going on with accounts and meetings.

Ok you can see your copy of the accounts, if they send you one! And you can attend an agm, and voice your opinion over whatever it is that is bothering you at the time.
I for one would never buy shares in a business that didn't take any notice of it's shareholders, didn't keep them uptodate with how the business was doing, and future business development. A business where if you are dissatisfied with the leadership of the CEO, you can't vote them out.
Basically, share issue in clubs like ours are begging letters, I applaud anyone willing to stump up their hard earned, however I question their logic, but hey that's rugby!!!!

Have to agree with kinleycat on this one sadly. Us shareholders have very little power, and it's more of a vanity project than owning shares in say BT. There's no dividends, no real issues to vote on…and if they were, who has the majority of the shares anyway!

I raised the question because as a qualified accountant I understand that shareholders have the right to attend the AGM (and get notice to it) as well as receiving a copy of the published year end accounts. Further, if enough shareholders get together they can raise motions and even call an EGM if they so wished.

When I bought my shares I did not do so as an investment as such. I bought shares because I am a lifelong fan of the club and have a genuine interest. Holding shares should give a greater insight to the running of the club, although only slight.

The club have a responsibility to their shareholders and are required by law to do so. It is barely a year since I bought the shares but I would have expected some contact of some kind by now.

I am also disappointed that the club failed to send me the full audited accounts on request. Further the only accounts they have sent relate to 2007 which is well out of date. As an accountant I can read accounts and this lack of cooperation with a shareholder request displeases me (to say the least).

Prince Buster I will be grateful of any update you can provide and hope that you can relay shareholder concerns to Ted. As a limited company they are duty bound to complete some basic tasks to their shareholders.

So actually, they didn't give you shares, you have just donated some money!

I've donated money with entrance fees in recent weeks.

I bought shares the first time 20 odd year ago the Club still dont send me any details on agms etc I rely on here even though I have lost count of telling them where i live, I even bought more for the family but we never get any notifications.

IIRC there is no longer an actual requirement for an AGM at all.

i believe that ted said that we would continue to have "shareholders meetings" but that they do not have a requirement to do so.

Okay miamivice I'll eat some humble pie on the AGM's after double checking to the Companies Act 2006 (I trained in the 90's). The Act does now allow private companies to opt out of AGM's but does however have a requirement on company accounts "although companies are still required to send them to shareholders, in hard copy or electronically, in accordance with the communications provisions." So far they sent me part of the 2007 accounts (when they should have sent the full set of published accounts). I'd be interested to know when we get hold of the 2008 and 2009 accounts?
